1. Agreement to Terms

By engaging MJD Pro Pte. Ltd. (“MJD Pro”, “we”, “us”, or “our”) for event planning, event production, event management, technical services, or any related services (“Services”), paying any invoice issued by us, attending an event organised or managed by us, or otherwise using our Services, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, you must not use our Services.

2. Definitions

2.1 “Client” means any individual, company, or organisation engaging MJD Pro for Services.

2.2 “Event” means any event, function, activation, or programme organised, managed, produced, or supported by MJD Pro.

2.3 “Fees” means all fees, charges, and expenses payable to MJD Pro as stated in the quotation, proposal, invoice, or agreement.

3. Scope of Services

MJD Pro shall provide the Services as described in the applicable quotation, proposal, invoice, or written agreement. Any additional services outside the agreed scope must be confirmed in writing and may be subject to additional Fees.

4. Bookings and Confirmations

All bookings are subject to written confirmation by MJD Pro. No booking shall be deemed confirmed until the Client has accepted our quotation and, where required, paid the applicable deposit or Fees.

5. Fees and Payment

5.1 All Fees are stated in Singapore Dollars (S$) and are exclusive of Goods and Services Tax (GST), unless otherwise stated.

5.2 Payment must be made in accordance with the payment terms stated in the invoice or agreement.

5.3 MJD Pro reserves the right to suspend Services, withhold deliverables, or cancel the Event in the event of late or non-payment.

5.4 Late payments may incur interest at a reasonable rate permitted by law.

6. Cancellations, Postponements and Refunds

6.1 Any cancellation or postponement by the Client must be made in writing.

6.2 Cancellation fees, refund eligibility, and postponement terms shall be governed by the specific terms stated in the quotation, proposal, or agreement.

6.3 MJD Pro reserves the right to cancel or postpone an Event due to circumstances beyond our reasonable control, including but not limited to venue unavailability, regulatory requirements, safety concerns, or force majeure events.

6.4 Any refunds, if applicable, will be determined at MJD Pro’s discretion and in accordance with applicable laws.

7. Client Obligations

The Client shall:

7.1 Provide complete, accurate, and timely information required for the provision of Services.

7.2 Obtain all necessary licences, permits, approvals, and consents required for the Event.

7.3 Ensure compliance with all applicable laws, regulations, venue rules, and safety requirements.

7.4 Be responsible for the conduct of its employees, contractors, guests, and attendees.

8. Conduct at Events

MJD Pro reserves the right to refuse entry to, or remove from an Event, any person whose conduct is deemed unsafe, disruptive, unlawful, or inappropriate, without liability or obligation to provide a refund.

9. Intellectual Property

All intellectual property rights in materials, content, designs, creative works, audio-visual materials, branding, and documentation produced or provided by MJD Pro remain the property of MJD Pro unless otherwise agreed in writing. No licence is granted except as expressly stated.

10. Limitation of Liability

To the maximum extent permitted by law:

10.1 MJD Pro shall not be liable for any indirect, incidental, consequential, special, or economic loss, including loss of profits, revenue, or business opportunity.

10.2 MJD Pro’s total aggregate liability arising out of or in connection with any Event or Services shall be limited to the total Fees paid by the Client for the relevant Event.

10.3 MJD Pro shall not be liable for the acts, omissions, or defaults of third parties, including venues, suppliers, contractors, performers, or service providers.

11. Indemnity

The Client agrees to indemnify and hold harmless MJD Pro, its directors, employees, agents, and contractors from any claims, losses, damages, liabilities, costs, or expenses arising out of or in connection with:

11.1 The Client’s breach of these Terms;

11.2 The Client’s negligence or unlawful acts; or

11.3 The conduct of the Client’s attendees, employees, or contractors.

12. Personal Data

MJD Pro collects, uses, and discloses personal data in accordance with applicable Singapore data protection laws and our Privacy Policy.

13. Force Majeure

Neither party shall be liable for any failure or delay in performance caused by events beyond reasonable control, including but not limited to acts of God, pandemics, government actions, labour disputes, or power failures.

14. Amendments

MJD Pro reserves the right to amend these Terms at any time by publishing the updated version on our website or otherwise notifying the Client. Continued use of the Services constitutes acceptance of the amended Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Singapore. The parties submit to the exclusive jurisdiction of the courts of Singapore.
